Terms & Conditions of Sale
These Terms & Conditions of Sale ("Terms") govern all quotes, orders, and sales between VAR Technical, LLC ("VAR Technical," "we," "us") and our customers ("you"). By placing an order with us, you accept these Terms.
1. Quotes and orders
- Quotes are valid for 30 days unless otherwise stated. Pricing is subject to change after a quote expires.
- Orders are accepted at our sole discretion and are not binding until we send a written order confirmation.
- Manufacturer specifications, lead times, and availability are subject to change. We pass through current information as provided by the manufacturer or distributor.
2. Pricing and taxes
- Prices are in U.S. dollars and exclude shipping, handling, and taxes unless otherwise stated.
- Sales tax is added based on the ship-to address. Tax-exempt customers must provide a valid resale or exemption certificate before order acceptance.
- Volume pricing is available on orders of 50+ units of the same SKU and on bundled deployments — request a custom quote.
3. Payment terms
- Credit card — charged when the order ships.
- Purchase order (PO) — accepted from verified businesses, government, and education customers. Net-30 unless other terms are agreed in writing.
- Net-30 terms — available after credit verification. Late balances accrue interest at 1.5% per month or the maximum rate allowed by Tennessee law, whichever is lower.
- Lease and financing — provided through third-party partners; their terms apply.
4. Shipping, title, and risk of loss
- Shipping is FOB origin. Title and risk of loss pass to you when the carrier picks up the goods.
- Estimated delivery dates are not guaranteed. We will notify you of significant delays.
- Drop-ship orders may be fulfilled directly from our distributors or manufacturers.
5. Returns and cancellations
- Defective on arrival (DOA) — contact us within 30 days of delivery. We will arrange replacement or return at no cost to you, subject to manufacturer DOA policy.
- Buyer's remorse returns — accepted within 30 days of delivery on factory-sealed, unopened items. A 15% restocking fee may apply. Customer pays return shipping.
- Non-returnable items — opened software, custom-configured systems, special-order items, consumables (toner, ink, batteries), and items marked "no returns" at time of sale.
- Cancellations — orders cannot be cancelled once they have shipped or once a custom configuration has begun.
- All returns require a Return Merchandise Authorization (RMA) issued in advance. Email [email protected] to request an RMA.
6. Warranty
- Products are sold under the manufacturer's standard warranty. We pass through all manufacturer warranty rights to you and assist with warranty claims.
- VAR Technical does not provide an independent warranty on hardware unless explicitly stated in a written services agreement.
- Disclaimer: Except as expressly stated, VAR Technical disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose, to the maximum extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law, VAR Technical's total liability for any claim arising from a sale will not exceed the amount paid for the product giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, including lost profits, lost data, or business interruption.
8. Compliance and export
Products may be subject to U.S. export controls. You agree not to export, re-export, or divert products in violation of U.S. export laws. You are responsible for compliance with all applicable laws in the destination country.
9. Confidentiality
Pricing, configurations, and any information marked confidential are not to be disclosed to third parties without our written consent.
10. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including supply chain disruptions, natural disasters, labor disputes, or government action.
11. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Tennessee. The parties waive the right to a jury trial.
12. Changes to these Terms
We may update these Terms from time to time. The Terms in effect on the date your order is accepted govern that order. The current version is posted at vartechnical.com/terms.

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.
